1. Parties and Agreement

These Terms of Service ("Terms") are a binding agreement between Hyperflow Intelligence, LLC ("Hyperflow," "we," "us") and the fraternity chapter that has registered for the Service ("Chapter" or "Customer"). The Chapter accepts these Terms on behalf of itself and all users it authorizes, including Admins, Brothers, and PNMs. The individual completing registration represents they have authority to bind the Chapter.

These Terms incorporate by reference Hyperflow's Privacy Policy.


2. Definitions


3. Eligibility and Account Security

All users must be at least 17 years old. By registering, users confirm they meet this requirement. Users who are 17 must have parental or guardian consent; by authorizing such a user, the Chapter represents consent has been obtained. The Chapter is responsible for all activity under its authorized accounts and must notify Hyperflow immediately of unauthorized access at security@rushpilot.us.


4. Subscription, Billing, and Payment

RushPilot is offered on tiered subscription plans billed monthly or annually in advance via Stripe. By providing payment information, the Chapter authorizes Hyperflow to charge fees each billing cycle. All fees are in U.S. dollars and exclude applicable taxes, which are the Chapter's responsibility.

Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle. Cancellations may be submitted anytime via Settings or billing@rushpilot.us; access continues through the end of the paid period with no refunds for unused time. Billing disputes must be submitted within 30 days of the charge; undisputed charges are final. Free trial terms, if offered, will be stated at registration; the Chapter will be billed at plan rates if not cancelled before trial end.


5. Permitted Use and Prohibited Conduct

The Service may be used solely for legitimate fraternity recruitment management, in compliance with applicable law, university policies, and IFC or governing council rules. The Chapter and all users agree not to:

Hyperflow reserves the right to suspend any account where there is evidence of discriminatory misuse or conduct creating legal liability.


6. PNM-Specific Terms

Creating a RushPilot account does not guarantee admission to any chapter. By submitting an application, a PNM grants the chapter permission to review, score, and retain their application data for recruitment purposes per the Privacy Policy. PNMs may withdraw their application at any time; withdrawal does not automatically delete previously submitted data unless a deletion request is separately made.

The following information exists within the platform but is never surfaced to PNMs unless officially communicated by the chapter: private notes, ratings and rubric scores, composite scores, AI-generated summaries, cut or declined status, and bid voting records. The visible status funnel shows only: Lead, Met, Invited, Bid. Bids are extended only through the official RushPilot bid extension flow; Hyperflow is not responsible for any off-platform bid communications.


7. Content and Intellectual Property

You retain ownership of Content you submit. By submitting Content, you grant Hyperflow a non-exclusive, worldwide, royalty-free license to host, store, and process it solely to operate the Service. AI-generated outputs (summaries, drafts, standups) are produced from your data; Hyperflow does not claim ownership of those outputs, but they are licensed to you solely for legitimate recruitment use within the Service. Admins are responsible for reviewing AI outputs before relying on them — they may contain errors.

The RushPilot platform and all its software, design, and documentation are owned by Hyperflow and protected by intellectual property law. These Terms grant no ownership rights in the platform. Feedback or suggestions you submit may be used by Hyperflow without restriction or compensation.


8. Privacy and Data Handling

The Privacy Policy governs how we handle personal information. The Chapter acknowledges that: (a) PNM data is processed by Hyperflow as a service provider for the Chapter's recruitment purposes; (b) the Chapter is responsible for obtaining any legally required consents from Brothers and PNMs it invites or imports; (c) PNM data may be used only for legitimate recruitment and may not be sold or shared outside the platform; and (d) the Chapter must honor PNM data deletion requests forwarded by Hyperflow within 30 days.


9. Confidentiality

The Service contains confidential recruitment data, including internal notes, scores, and voting records. Users agree not to disclose confidential information outside the chapter except as required by law. Brothers and Admins must not share PNM personal data with unauthorized third parties. These obligations survive termination of these Terms.


10. Term and Termination

These Terms begin at registration and continue until cancelled or terminated. The Chapter may cancel at any time; cancellation takes effect at the end of the billing period. Hyperflow may suspend or terminate immediately and without refund for: material breach of these Terms; non-payment after 10 days' written notice; evidence of unlawful discrimination; conduct creating legal liability for Hyperflow or harm to users; or Chapter bankruptcy or insolvency.

Upon termination, access ceases. Hyperflow retains data for 90 days during which the Chapter may request export; after 90 days data is deleted per the Privacy Policy.


11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI OUTPUTS, OR UNINTERRUPTED SERVICE. HYPERFLOW DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE. HYPERFLOW DOES NOT GUARANTEE THAT RUSHPILOT COMPLIES WITH ANY UNIVERSITY'S IFC, PANHELLENIC, OR STUDENT ORGANIZATION POLICIES; COMPLIANCE IS THE CHAPTER'S RESPONSIBILITY.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPERFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, LOST DATA, OR REPUTATIONAL HARM. HYPERFLOW'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CHAPTER IN THE THREE MONTHS PRECEDING THE CLAIM.


13. Indemnification

The Chapter agrees to indemnify, defend, and hold harmless Hyperflow Intelligence, LLC and its officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from: violation of these Terms or applicable law (including anti-discrimination law); the Chapter's use of AI features in making recruitment decisions; any PNM claim related to the Chapter's recruitment practices; or the Chapter's failure to obtain required user consents.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Before formal proceedings, the parties agree to attempt good-faith informal resolution for 30 days. If unresolved, disputes will be settled by binding individual arbitration under AAA Commercial Arbitration Rules, conducted in Delaware or remotely.

ALL DISPUTES MUST BE BROUGHT INDIVIDUALLY. THE CHAPTER WAIVES ANY RIGHT TO CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDINGS. Either party may seek injunctive relief in any court of competent jurisdiction without waiving arbitration rights.


15. General

These Terms, together with the Privacy Policy and any plan descriptions, are the entire agreement between the parties and supersede all prior agreements. Hyperflow may update these Terms with 14 days' notice for material changes; continued use constitutes acceptance. If any provision is unenforceable, the rest remains in effect. Failure to enforce any provision is not a waiver. The Chapter may not assign these Terms without Hyperflow's consent. Neither party is liable for delays caused by circumstances beyond their reasonable control. Legal notices to Hyperflow must be sent to legal@rushpilot.us.
